Referral Partner terms of service

 

PART 1: SERVICE TERMS

Welcome to the Chaser Technologies Limited (Chaser) Referral Partner Program, where we offer a unique opportunity for you to earn rewards while helping us reach new customers. Please carefully review and agree to these Terms and Conditions, which establish the rules for our partnership. We're committed to ethical marketing practices and regulatory compliance and excited to work together for mutual success.      1. DEFINITIONS

1.1 "Referrer" or "You" refers to the individual or entity participating in the Referral Program.

1.2 "Chaser" or “Company” or "We" refers to the company offering the Referral Program.

1.3 "Referral Program" refers to the program through which Referral Partners promote Chaser's products or services.

1.4 “Completed Referral” refers to a Free Trial or Subscription taken out by a customer referred by the referral. 

1.5 "Commission" refers to the compensation paid to the Referral Partner for successful referrals or sales.

 

     2. ENROLLMENT

2.1 Eligibility: To become a Referral Partner, complete the Referral Partner application form and agree to these Terms and Conditions.

2.2 Approval: We reserve the right to accept or reject any Referral Partner application at our discretion.

2.3 The Referrer fully understands and accepts that he or she will perform his or her work as an independent contractor at his or her own expense and risk.

 

     3. COMMISSIONS 

3.1 Compensation: 

3.1.1Under the terms of this agreement, the Company will pay the Referrer a Commission for its services. This amount is outlined in our Referral Partner program webpage.

3.1.2 Commission will be in the form of vouchers via BHN Rewards

3.1.3 The Commission outlined in our Referral Partner program webpage will be due in full by the Company, from the moment of execution of the contract, i.e. the moment when the Company executes the terms of the contract with the Client introduced by the Referrer.

3.1.4 The Company will pay this Commission to the Referrer within 30 days of the completion of a referral.

3.2 Compensation requirements:

3.2.1 The referred customer is not a current customer of Chaser or a prospect whom Chaser contacted before the date of the recommendation and to whom Chaser has undertaken sales and marketing efforts. 

3.2.2 Referral customers will not be deemed accepted by the Company, and the Company will bear no obligation to make payments herein, unless accepted terms are mutually agreed upon or services are rendered by one of the referrals.

3.3 Payment: 

3.3.1 Commissions are paid by the Company to the Referrer no later than 30 days after a Completed Referral and are in the form of vouchers  in GBP, USD, EUR, AUD, or NZD through BHN Rewards.

 

     4. REFERRER RESPONSIBILITIES

4.1 Promotion: Referrers play a crucial role in representing Chaser, and as such, they commit to promoting our products and services in a manner consistent with our brand guidelines and in full compliance with applicable laws and regulations. This means maintaining the high standards that define our brand identity and ensuring that all marketing efforts align with legal and ethical considerations.

4.2 Compliance: We expect our Referrers to be diligent in adhering to all relevant laws and regulations governing their activities. This includes, but is not limited to, adhering to anti-spam laws, respecting user privacy, and respecting intellectual property rights. Your commitment to legal compliance is essential to maintain the integrity of our Referral Program.

4.3 Ethical Practices: At Chaser, we value ethical marketing practices. Referrers are not only expected to adhere to the law but also to engage in marketing efforts that are fair, honest, and transparent. Misleading or deceptive advertising practices are strictly prohibited, as they undermine the trust we aim to build with our customers.

 

     5. PROHIBITED ACTIVITIES

5.1 Fraud: The integrity of our program is of utmost importance. Referrers are strictly prohibited from engaging in fraudulent activities, such as click fraud, cookie stuffing, or incentivized referrals. Engaging in such activities will result in immediate termination of the Referrer’s participation in the program.

5.2 Trademark Use: Unauthorized use of Chaser's trademarks, trade names, or intellectual property is not permitted. Referrers must seek prior written consent before using any of our branding materials, ensuring that they do so within the bounds of intellectual property law.

5.3 Misrepresentation: To maintain the trust and reputation we've built, Referrers shall not make false or misleading claims about Chaser or its products. Any such misrepresentation could result in termination from the Referral Program.

 

     6. CONFIDENTIALITY

6.1 In the course of performing the Services below, the Referrer may have access to certain confidential or proprietary information of the Company. 

6.2 This information considered confidential includes all information concerning the company, the products, the customers, the strategies, the marketing, the systems, the technology, the financial affairs and accounting, the statistical data owned by the Company and any other proprietary and trade secret information of the Company in oral, graphic, written, electronic or machine-readable form. 

6.3 The Referrer undertakes to keep all Company Confidential Information strictly confidential and must not, without the express prior written consent of the Company, (a) disclose such Confidential Information to third parties; or (b) use such Confidential Information for any purpose whatsoever, other than for the performance of its obligations hereunder. The obligations under this section continue to survive the termination or expiration of these terms.

 

     7. OWNERSHIP

7.1 Chaser shall retain full ownership of all Referred Customers, including all information relating to such Referred Customers.

7.2 Referrer agrees that upon termination of this Agreement, the Referrer will return to the Company all designs, writings, software, devices, documents and any other material containing or disclosing any confidential or proprietary information of the Company. The Referrer will not retain any such materials.

 

     8. INTELLECTUAL PROPERTY

8.1 The Referrer agrees that Chaser retains ownership rights in and to certain intellectual property, including without limitation any Chaser trademark, service mark, trade dress, advertising, any associated goodwill, whether presently existing or later developed (collectively “Intellectual Property”). Referrer agrees to sign any document as reasonably required to effect recording or protection of any such property.

8.2 If approved in writing by Chaser the Referrer may use advertising that is associated with any Intellectual Property. Referrer may use such advertising materials only upon the terms and conditions stated by Chaser from time to time. Referrer may not modify or delete any Intellectual Property it uses without the written consent of Chaser.

 

     9. TERMINATION

9.1 Termination: Chaser reserves the right to terminate a Referrer’s participation in the program if they violate these Terms and Conditions. This termination is at the discretion of Chaser and may occur in cases of severe breaches of the program's guidelines.

9.2 Notice: In the event of termination, Chaser will provide 30 days notice to the Referrer, outlining the reasons for the termination. It's important to note that any unpaid commissions may be forfeited upon termination.

 

     10. MODIFICATION OF TERMS

10.1 Modification: Chaser may, from time to time, make updates or modifications to these Terms and Conditions. In such cases, Referrers will be duly notified of any changes. Continued participation in the Referral Program indicates acceptance of the revised terms, ensuring transparency and consistency in our partnership.

 

     11. LIMITATION OF LIABILITY

11.1 Chaser is not liable for any damages or losses that Referrers may incur as a result of their participation in the program. While we aim to provide a productive and mutually beneficial partnership, we cannot be held responsible for unforeseen events or individual actions that may lead to losses or damages.

 

     12. GOVERNING LAW

12.1 These Terms and Conditions are governed by the laws of England and Wales..
